01Who these terms apply to
These terms apply if you list modules, services, marketplace items or Code Drops on XPRE. They are additional to the Terms & Conditions and the Acceptable Use Policy, which continue to apply in full.
02Eligibility and verification
- You must be 18 or over and able to trade lawfully in your country.
- Before your first payout you must complete identity and business verification (KYC) and provide accurate tax status information.
- We may re-verify at any time, and may pause listings or payouts while verification is outstanding.
- Verification badges and tiers reflect the checks described on the marketplace pages. They are not a guarantee we give to buyers about your work.
03What you promise about what you sell
For everything you list, you warrant that:
- You own it or have all rights and licences needed to sell and sublicense it, including any third-party dependencies, assets, fonts and media.
- It does not infringe anyone's intellectual property, privacy or other rights.
- Open-source components are correctly licensed and attributed, and no copyleft licence is breached by the way you sell it.
- It contains no malware, backdoors, hidden telemetry, hardcoded credentials or deliberately obfuscated code.
- It contains no personal data belonging to third parties.
- Your listing — description, screenshots, demo and claims — is accurate and not misleading.
04Licence you grant
You keep ownership of your work. You grant XPRE a non-exclusive, worldwide licence to host, display, market, distribute and, where necessary, package or demo your listing for the purpose of selling it on the platform.
You grant each buyer the licence stated in your listing. Where no licence is stated, buyers receive a perpetual, non-exclusive licence to use and modify the work in their own products, but not to resell it as a standalone competing product.
05Revenue split and pricing
- Code Drops: you receive 80% of the net sale price, XPRE retains 20%.
- Net sale price means the amount paid by the buyer less VAT or other transaction taxes, and less refunds and chargebacks.
- Payment processing fees are borne by XPRE out of its share unless stated otherwise on your listing type.
- You set your own prices within the limits shown in Creator Studio. Promotions we run are optional and will be offered to you before applying.
- We may change the split for future listings on 30 days' notice. Existing sales are unaffected.
06Payouts, holdbacks and tax
- Earnings become available after a clearing period of 14 days from the buyer's payment, to cover refunds and disputes.
- Payouts are made to your verified payout account once your available balance reaches the minimum threshold shown in Creator Studio.
- We may hold or reverse a payout where there is a dispute, chargeback, suspected fraud or a rights complaint.
- You are responsible for your own income tax, VAT and any registration obligations. Prices may be shown tax-inclusive to buyers in some markets.
- Where required, we may withhold tax or report earnings to tax authorities.
07Listing standards and support
- Listings must include an accurate description, the stack used, what is and is not included, and any external services the buyer will need.
- Respond to buyer questions and reasonable support requests within 5 working days for at least 90 days after purchase, unless your listing states a longer commitment.
- Ship security fixes for critical vulnerabilities in your work, or withdraw the listing.
- Do not solicit off-platform payment to avoid fees, request or offer fake reviews, or use multiple accounts to manipulate rankings.
08Complaints, takedowns and counter-notice
Rights holders can send a notice to support@xpre.ai identifying the work, the infringing listing, their contact details and a statement of good-faith belief and accuracy.
- On a valid notice we may remove or disable the listing and notify you.
- You may submit a counter-notice explaining why the material is not infringing; we may restore the listing if the complaint is not pursued.
- Repeat infringers are removed from the marketplace permanently.
- We may also remove listings that breach the Acceptable Use Policy, present a security risk, or are materially misdescribed.
09Termination and survival
- You may withdraw listings or close your Creator account at any time.
- We may suspend or remove Creator access for breach, fraud, sustained buyer complaints or failed verification.
- Licences already granted to buyers survive termination — buyers keep what they paid for.
- Cleared earnings remain payable after termination, subject to any holdback for open disputes.
- Your warranties, indemnity and confidentiality obligations survive.
10Indemnity
You will indemnify XPRE and buyers against claims, losses and reasonable costs arising from your listings, your breach of these terms, or any infringement of third-party rights by the work you sell.
